You agree to provide timely access to accounts, assets, and information reasonably necessary for us to perform our services, and to ensure that any materials you provide do not infringe the rights of third parties.
Unless otherwise agreed in writing, deliverables created specifically for you become your property upon full payment. We retain ownership of our pre-existing methods, tools, templates, and know-how, and may use general learnings and anonymized results for our own purposes.
Each party agrees to protect the other's confidential information and to use it only as necessary to perform under these Terms.
Our services may involve third-party platforms such as advertising and email providers. Your use of those platforms is subject to their own terms, and we are not responsible for their performance, policies, or availability.
While we apply our best professional efforts, we do not guarantee any specific results, revenue, rankings, or performance outcomes, which depend on many factors outside our control.
To the maximum extent permitted by law, Coast Summit Growth will not be liable for any indirect, incidental, special, or consequential damages, and our total liability for any claim will not exceed the fees paid by you to us for the services giving rise to the claim during the three months preceding the claim.
You agree to indemnify and hold Coast Summit Growth harmless from claims arising out of your breach of these Terms or your misuse of our services.
Either party may terminate an engagement as described in the applicable statement of work. Upon termination, you remain responsible for fees for services performed through the termination date.
These Terms are governed by the laws of the State of California, without regard to its conflict of laws principles. Any disputes will be resolved in the state or federal courts located in California.
We may update these Terms from time to time. Continued use of our website or services after changes take effect constitutes acceptance of the updated Terms.
